• Analytics and reporting

Specific services, deliverables, timelines, and pricing are outlined in individual service agreements or proposals provided to clients.

User Responsibilities

By using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any account credentials
• Notify us immediately of any unauthorized use of your account
• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose
• Provide timely feedback and approvals as needed for project completion
• Ensure you have the right to use any content, materials, or assets you provide to us

Intellectual Property

Our Property

All content on our website, including text, graphics, logos, images, and software, is the property of Corescales and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Client Materials

Upon full payment for services, clients receive ownership rights to deliverables created specifically for them, excluding any pre-existing intellectual property, templates, or methodologies owned by Corescales.

Third-Party Content

You are responsible for ensuring you have proper rights and licenses for any third-party content, images, or materials you provide to us for use in your campaigns or projects.

Payment Terms

• All fees are quoted in USD unless otherwise specified
• Payment terms are outlined in individual service agreements
• Late payments may incur additional fees or result in suspension of services
• Clients are responsible for any applicable taxes
• Ad spend and third-party platform fees are separate from our service fees
• Refunds are handled on a case-by-case basis and subject to the specific service agreement

Service Level and Performance

While we strive to deliver exceptional results, we make no guarantees regarding specific outcomes, rankings, traffic levels, conversion rates, or revenue increases. Marketing results depend on numerous factors including but not limited to:

• Market conditions and competition
• Product/service quality and pricing
• Client's business operations and customer service
• Platform algorithm changes
• Client's responsiveness and cooperation

We provide our best professional efforts and strategic guidance based on industry best practices and data-driven insights.

Termination

By Client

Clients may terminate services according to the terms outlined in their service agreement. Termination typically requires written notice (usually 30 days). Any work completed up to the termination date must be paid in full.

By Corescales

We reserve the right to terminate services if:

• Payment is not received as agreed
• Client violates these terms
• Client engages in abusive or harassing behavior toward our team
• We determine the partnership is not a good fit

Limitation of Liability

To the maximum extent permitted by law, Corescales shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or malicious code transmitted through our services
• Any errors or omissions in any content or services

Our total liability for any claims arising from services shall not exceed the amount paid by the client in the preceding 3 months.

Indemnification

You agree to indemnify, defend, and hold harmless Corescales and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms and Conditions
• Your violation of any third-party rights, including intellectual property rights
• Your use of our services
• Content or materials you provide to us

Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes business strategies, financial information, trade secrets, and other confidential materials.

We may use anonymized case studies and results for marketing purposes unless explicitly prohibited by a written agreement.

Dispute Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect.

Entire Agreement

These Terms and Conditions, along with any service agreements or proposals, constitute the entire agreement between you and Corescales regarding the use of our services and supersede all prior agreements and understandings.
